Platform Terms of Service and User Agreement

The following are the terms and conditions (the “Terms”) for the use of the LAWDOCS.AU web site (the “Site”), LAWDOCS.AU Services, and related material.

1. FOUNDATIONAL PRINCIPLES AND DEFINITIONS

1.1 Platform Identity (a) Lawdocs.au (ABN: 72 161 116 730) (referred to as “Platform,” “we,” “our,” or “us”) operates lawdocs.au and associated services.

(b) “Platform Services” encompasses all offerings provided through our platform, including but not limited to: (i) website access and functionality; (ii) document automation tools; (iii) business registration services; and (iv) related digital services and features.

1.2 Essential Terminology In these Terms:

(a) “Access Period” means: (i) for subscriptions, the duration of your paid subscription period; or (ii) for single purchases, the period specified for that service.

(b) “Business Tools” means: (i) document automation systems; (ii) business registration tools; (iii) compliance assistance features; and (iv) related business management resources.

(c) “Digital Content” means: (i) all platform-generated materials; (ii) completed forms and documents; (iii) registration applications; and (iv) any other outputs generated through the Platform.

(d) “Platform Materials” means: (i) all content available through the Platform; (ii) all features and functionalities; (iii) all tools and resources; and (iv) all associated documentation.

(e) “Service Outcome” means any final product or result generated through our Platform.

(f) “Usage Rights” means your authorized methods of utilizing our Platform and its outputs.

1.3 Agreement Structure (a) These Terms constitute the entire agreement between you and the Platform regarding service usage.

(b) By accessing any portion of our Platform Services, you: (i) accept these Terms in full; (ii) acknowledge you have read and understood them; and (iii) agree to be bound by them.

1. SERVICE FRAMEWORK

2.1 Core Services The Platform provides the following services:

(a) Business Registration Services, including: (i) company registration; (ii) business name registration; (iii) ABN registration; and (iv) related regulatory filings.

(b) Document Services, including: (i) automated document generation; (ii) template access; (iii) digital storage; and (iv) document management tools.

(c) Compliance Tools, including: (i) compliance monitoring features; (ii) notification systems; (iii) update services; and (iv) reporting tools.

2.2 Service Boundaries (a) The Platform explicitly does not: (i) provide legal advice or counsel; (ii) offer professional advisory services; (iii) guarantee government approval of applications; or (iv) act as legal representatives.

(b) The Platform may act as an authorized representative solely for the purpose of: (i) submitting business registrations; (ii) processing regulatory applications; and (iii) managing related administrative matters.

1. ACCESS FRAMEWORK

3.1 Account Creation (a) To create an account, you must: (i) provide accurate and current information; (ii) be authorized to act on behalf of any business you represent; (iii) maintain the security of your login credentials; and (iv) update your information as needed to keep it current.

(b) Accounts are subject to the following restrictions: (i) one account per individual or entity unless explicitly permitted; (ii) must be created by a person of legal age; (iii) must be created by someone with authority to bind any represented entity; and (iv) must comply with all verification procedures.

3.2 Access Levels (a) Service tiers provide varying levels of access, including: (i) different document generation allowances; (ii) varying storage capacities; (iii) different support levels; and (iv) access to different feature sets.

(b) Access rights are determined by: (i) subscription level; (ii) payment status; (iii) account standing; and (iv) service tier selection.

1. USAGE GUIDELINES

4.1 Authorized Uses (a) Licensed users may: (i) generate documents for their own business purposes; (ii) store materials in their account; (iii) make reasonable copies for business use; and (iv) share documents with directly involved parties.

(b) All usage must: (i) comply with these Terms; (ii) be for legitimate business purposes; (iii) respect intellectual property rights; and (iv) adhere to applicable laws.

4.2 Usage Restrictions (a) Users are strictly prohibited from: (i) redistributing Platform Materials; (ii) reverse engineering our systems; (iii) creating derivative platforms; (iv) sharing access credentials; (v) bypassing security measures; and (vi) using services for unauthorized purposes.

(b) Any violation of these restrictions may result in: (i) immediate account suspension; (ii) termination of services; (iii) legal action; and (iv) forfeiture of fees paid.

1. PAYMENT STRUCTURE

5.1 Service Fees (a) All fees will be: (i) clearly displayed at purchase; (ii) charged in Australian Dollars; (iii) inclusive of GST where applicable; and (iv) subject to periodic review and adjustment.

(b) Payment terms require: (i) valid payment method on file; (ii) timely payment of all charges; (iii) automatic processing of recurring fees; and (iv) payment of any applicable taxes.

5.2 Subscription Management (a) Subscription services are subject to: (i) automatic renewal unless cancelled; (ii) advance notice of renewal; (iii) specified cancellation procedures; and (iv) defined billing cycles.

(b) Refund eligibility is limited to: (i) specified cooling-off periods; (ii) service unavailability; (iii) duplicate charges; and (iv) other circumstances as determined by the Platform.

1. INTELLECTUAL PROPERTY FRAMEWORK

6.1 Platform Rights (a) The Platform retains all rights to: (i) system architecture and design; (ii) processing methods and algorithms; (iii) interface designs and layouts; (iv) generated formats and templates; (v) operational procedures and methodologies; and (vi) all associated intellectual property.

(b) These rights include: (i) copyright; (ii) trademark rights; (iii) patent rights; (iv) trade secrets; and (v) all other intellectual property rights.

6.2 User Rights (a) Users receive a limited license to: (i) access and use the Platform; (ii) generate documents; (iii) store materials; and (iv) utilize features within specified limits.

(b) This license is: (i) non-exclusive; (ii) non-transferable; (iii) revocable; and (iv) subject to these Terms.

1. SERVICE OUTCOMES

7.1 Document Generation (a) Generated documents are: (i) based solely on user inputs; (ii) subject to system parameters; (iii) provided “as is” without warranty; and (iv) for business use only.

(b) Users acknowledge that: (i) document accuracy depends on input accuracy; (ii) documents may require professional review; (iii) not all situations are covered; and (iv) modifications may be necessary.

7.2 Business Registrations (a) Registration services are: (i) subject to government approval; (ii) based on provided information; (iii) processed according to regulatory timeframes; and (iv) not guaranteed for approval.

(b) Processing times are: (i) subject to government agency workload; (ii) outside Platform control; (iii) variable by registration type; and (iv) not guaranteed.

 

1. RISK ALLOCATION

8.1 Platform Obligations The Platform commits to providing and maintaining services with reasonable care and skill. Specifically, we will: (a) maintain reasonable system functionality and uptime; (b) implement appropriate technical and organizational measures to protect user data; (c) process requests and applications within reasonable timeframes; and (d) deliver services as described in service descriptions and applicable documentation.

8.2 User Responsibilities By using the Platform, you acknowledge and agree to the following obligations: (a) You must provide accurate, complete, and current information for all registrations and documents; (b) You are solely responsible for verifying the suitability of any document or service outcome for your specific needs; (c) You must maintain the security and confidentiality of your account credentials; (d) You must comply with these terms and all applicable laws when using our services; and (e) You are responsible for maintaining copies of all important documents and data.

9. LIABILITY FRAMEWORK

9.1 Limitation of Liability (a) To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms or your use of the Platform Services, regardless of the cause of action (whether in contract, tort, breach of statutory duty or otherwise), will not exceed the total amount paid by you to us in the 12 months preceding the incident giving rise to the liability.

(b) Where liability cannot be lawfully excluded, it is limited to, at our option: (i) in the case of services, the resupply of the services or payment of the cost of having the services resupplied; and (ii) in the case of goods, the replacement of the goods or payment of the cost of having the goods replaced.

9.2 Excluded Claims Notwithstanding any other provision of these Terms, we will not be liable for any: (a) consequential, indirect, or special losses or damages of any kind; (b) loss of profit, business opportunity, revenue, goodwill, or anticipated savings; (c) losses arising from third party claims or actions; (d) losses resulting from government decisions or regulatory actions; (e) losses caused by user error, incorrect data input, or misuse of the Platform Services; or (f) losses arising from circumstances outside our reasonable control.

10. DISPUTE RESOLUTION

10.1 Resolution Process (a) Notice Requirement: Before initiating any legal proceedings, you must provide us with written notice detailing the nature of the dispute and proposed resolution.

(b) Negotiation Period: Within 30 days of receiving such notice, both parties must attempt to resolve the dispute through good faith negotiations.

(c) Mediation: If negotiations fail, either party may refer the dispute to mediation administered by the Australian Disputes Centre according to its mediation rules.

(d) Final Resolution: If mediation fails to resolve the dispute within 60 days of commencement, either party may commence legal proceedings.

10.2 Jurisdiction and Venue (a) These Terms are governed by the laws of New South Wales, Australia.

(b) Subject to clause 10.1, both parties irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and any courts entitled to hear appeals from those courts.

11. RELATIONSHIP PARAMETERS

11.1 Nature of Relationship (a) The relationship between you and the Platform is solely that of independent contracting parties.

(b) Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship.

(c) Neither party has the authority to bind the other or incur obligations on the other’s behalf.

11.2 Service Provider Capacity (a) We act solely as a provider of automated document and business registration services.

(b) Our role is strictly limited to: (i) providing document automation tools; (ii) facilitating business registrations; (iii) providing digital storage solutions; and (iv) operating the technology platform.

12. MODIFICATION OF TERMS

12.1 Terms Updates (a) We reserve the right to modify these Terms at any time in our sole discretion.

(b) We will provide notice of any material changes through: (i) posting on our website; (ii) email notification to registered users; or (iii) notification within the Platform interface.

(c) Continued use of the Platform after such changes constitutes acceptance of the modified Terms.

12.2 Service Modifications (a) We reserve the right to: (i) modify or discontinue any features or portions of the Platform Services; (ii) adjust pricing for any or all services upon reasonable notice; (iii) implement system improvements or changes; and (iv) suspend or terminate services for maintenance or updates.

(b) We will provide reasonable notice of any material changes to service functionality or availability.

13. TERMINATION

13.1 Termination Rights (a) User-Initiated Termination: You may terminate your account at any time by: (i) providing written notice; and (ii) paying any outstanding fees.

(b) Platform-Initiated Termination: We may terminate or suspend your access: (i) immediately for breach of these Terms; (ii) immediately if required by law; or (iii) upon reasonable notice for any other reason.

13.2 Effects of Termination (a) Upon termination: (i) all licenses and rights granted under these Terms will immediately cease; (ii) you must cease all use of the Platform Services; (iii) all outstanding fees become immediately due and payable; and (iv) you must remove and delete all copies of Platform Materials.

(b) Data Retention: (i) we will retain your data for a period of 30 days after termination; (ii) you may request a copy of your data during this period; (iii) after this period, we may permanently delete all your data; and (iv) you are responsible for maintaining your own backups.
